Terms of Service

By creating an account or using Agency Ape ("the Service"), operated by Agency Ape ("we", "us", "our"), you ("you", "the user") agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. You must be at least 18 years old and able to enter into a legally binding contract.

Agency Ape is a software platform that provides AI-generated marketing assets (scripts, outreach messages, proposals, content calendars), a CRM and pipeline, lead-finding tools, client portals, and related agency-operations tools. We may update, modify, or discontinue features at any time.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized access. We may suspend or terminate accounts that violate these Terms, attempt to abuse the Service, or pose a risk to other users or our infrastructure.

You agree not to use the Service to:

• Send spam, unsolicited bulk messages, or content that violates anti-spam laws (CAN-SPAM, CASL, GDPR, etc.).
• Harass, defame, defraud, or harm any person or business.
• Generate content that is illegal, hateful, sexually explicit involving minors, or that infringes intellectual property rights.
• Reverse-engineer, scrape, or attempt to extract our source code, models, or proprietary data.
• Resell, sublicense, or repackage the Service itself (white-labeling client deliverables IS permitted on the Empire plan).
• Bypass rate limits, usage caps, or any technical restrictions.

The Service uses third-party AI models to generate text, scripts, proposals, and other assets. AI output:

• May contain inaccuracies, errors, or fabricated information ("hallucinations").
• Is provided "as is" and you are solely responsible for reviewing, editing, and verifying it before sending to clients or the public.
• Is not legal, financial, medical, or other professional advice.
• You own the output you generate and may use it commercially, but you assume all responsibility for it.

Agency Ape is a software tool, not a get-rich-quick scheme, business opportunity, or franchise. Any earnings figures, case studies, or testimonials shown on our website or marketing materials reflect individual user experiences and are not typical or guaranteed. Your results depend on your effort, skill, market conditions, and many factors outside our control. We make no representation or warranty that you will earn any specific amount of money — or any money at all — by using the Service.

Lead data surfaced through our Lead Finder is sourced from publicly available business information (e.g. Google Places). You are responsible for ensuring your outreach to any lead complies with applicable laws including but not limited to CAN-SPAM, TCPA, GDPR, CASL, and any local communications and privacy regulations. We do not warrant the accuracy, completeness, or current status of lead data.

The Service, including all software, designs, trademarks, and content authored by us, is owned by Agency Ape and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your business while your subscription is active. Content you generate using the Service (proposals, scripts, etc.) belongs to you.

You may terminate your account at any time by canceling your subscription and contacting support to delete your data. We may suspend or terminate your account immediately, without refund, if you violate these Terms, abuse the Service, or expose us or other users to legal or technical risk. Upon termination, your access ends and your data may be deleted after 30 days.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AGENCY APE, ITS OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless Agency Ape, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) content you generate, send, or publish; (c) your outreach to leads or clients; or (d) your violation of these Terms or any law.

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration in Georgia under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property infringement. You waive any right to a jury trial or to participate in a class action.
